Within the framework of the Presidency of the Council of the European Union, the French Ministry of Justice is organising a conference on the topic of 'The European Private Company', in partnership with MEDEF (French Employers' Association), CCIP (Paris Chamber of Commerce and Industry), CGPME (French General Confederation of Small- and Medium-Sized Enterprises) and the economic interest group "Lawyers for Europe".
Bringing together practitioners of company law and representatives from the business world, this conference will address issues related to setting up and running the future European Private Company (EPC) and the liability of the managers of such companies.
On 25 June last, the European Commission presented a draft regulation on the EPC that constitutes the main measure of the 'Small Business Act' intended to promote the growth of SMEs throughout Europe by simplifying the management of their businesses. The status of European Private Company is one of the proposals in the draft European Small Business Act.
Within this framework, the EPC is an essential tool for encouraging employment and SME growth. The EPC leaves shareholders considerable freedom to choose how the company is run. This new common status constitutes a flexible system that will facilitate companies' business operations throughout the EU, by making it easier for companies to set up abroad by limiting the cost of the formalities required.
To prevent the circumvention of certain provisions, the draft regulations limit reference to national legislation to a few specific areas such as taxation, accounting, profit-sharing and managers' liability.
